Chinese developer plans to raise funds via tokenized debt in HK

Seazen Group, a Shanghai-based developer, plans to issue tokenized private debt in Hong Kong by late 2025.

The company, which has avoided default during China’s property crisis, is expanding into digital assets.

Seazen will set up a digital asset management unit and launch NFT products linked to its Wuyue Plaza malls.

Its first project will convert private and convertible bonds into real-world asset tokens representing ownership on blockchain.

The firm has discussed the plan with potential investors and also aims to build an RWA trading platform and tokenize its malls.

🧠 Food for thought

1️⃣ Strong developers are pioneering tokenization while others struggle with traditional financing

Seazen’s move into tokenized debt represents a strategic pivot from a position of relative strength during China’s ongoing property crisis.

The company is one of the few major Chinese developers to avoid default while many peers face severe liquidity constraints 1. This financial stability allows Seazen to experiment with innovative funding mechanisms when traditional debt markets remain challenging for the sector.

The timing suggests that tokenization may serve as an alternative capital source for real estate companies seeking to diversify beyond conventional bank lending and bond markets.

Seazen’s approach of tokenizing private debt rather than equity also indicates a more conservative entry into digital assets, potentially offering investors familiar fixed-income structures with blockchain-enabled efficiencies.

2️⃣ Hong Kong’s regulatory clarity is unlocking institutional participation in tokenized assets

Seazen’s tokenization plans align with Hong Kong’s recent regulatory developments that have created clearer frameworks for digital asset operations.

The territory implemented comprehensive stablecoin regulations requiring 100% backing by high-quality liquid assets and launched the LEAP framework to streamline digital asset development 23.

This regulatory clarity appears to be addressing previous institutional hesitancy around tokenized real estate, which historically faced significant challenges including shelved projects and limited investor appetite 4.
