Capgemini to acquire IT firm WNS for $3.3b

Capgemini SE, a French technology and consulting firm, plans to acquire IT outsourcing company WNS Holdings Ltd. for US$3.3 billion.

The deal values WNS at US$76.50 per share, a 28% premium over its 90-day average stock price.

Capgemini expects the acquisition to boost its earnings per share by about 4% on a normalized basis by 2026.

This move is part of Capgemini’s strategy to strengthen its capabilities in AI, as demand for AI-driven solutions grows.

WNS operates in 13 countries and serves over 600 clients, led by CEO Keshav Murugesh.

Although it saw a slight revenue decline, WNS posted stronger-than-expected earnings in its latest quarterly results.

🧠 Food for thought

1️⃣ Capgemini’s acquisition strategy reveals consistent premium-paying approach to capability building

The WNS acquisition aligns with Capgemini’s long-term growth strategy, showing a willingness to pay significant premiums for strategic capabilities.

In this latest deal, Capgemini is offering a 28% premium over WNS’s 90-day average share price, demonstrating their aggressive approach to securing AI capabilities in a competitive market.

This is similar to their 2015 acquisition of IGATE for $4 billion, which was also positioned as a strategic capability expansion focused on application services, infrastructure services, and business process outsourcing.

Both acquisitions highlight Capgemini’s preference for acquiring established expertise rather than building internally, particularly when entering high-growth areas like North American markets (with IGATE) or AI operations (with WNS).

The consistency in approach suggests Capgemini has developed a successful integration playbook for absorbing acquired companies, having previously integrated IGATE’s operations within three months of closing that transaction.

2️⃣ Changing expectations reveal evolving economics of tech services acquisitions

The financial projections for the WNS acquisition reveal important shifts in the tech services acquisition landscape compared to Capgemini’s previous major deal.
