Bukalapak injects $44m into 10 subsidiaries

Bukalapak.com announced a capital injection of 656.6 billion rupiah (US$44 million) into several subsidiaries on April 25, 2025.

This transaction involves the issuance of new shares.

The subsidiaries receiving funds include PT Anugerah Bisnis Cakrabuana (ABC), PT Buka Usaha Indonesia (BUI), PT Buka Unggul Kencana (BUK), PT Kolaborasi Sukses Berkarya (KSB), PT Wahana Abadi Sentosa Makmur Perkasa (WASMP), PT Buka Mitra Indonesia (BMI), PT Mitra Untung Sentosa (MUS), PT Onstock Solusi Indonesia (OSI), PT Kolaborasi Kreasi Investa (KKI), and PT Buka Bangunan Indonesia (BBI).

According to Bukalapak’s Corporate Secretary, Cut Fika Lutfi, this capital increase is part of the company’s broader business strategy.

🧠 Food for thought

1️⃣ Strategic capital deployment amid serious valuation challenges

Bukalapak’s Rp656.6 billion capital injection into subsidiaries comes at a critical time for the company, which has lost over 85% of its market value since its blockbuster IPO in 20211.

Despite raising approximately $1.5 billion in Indonesia’s largest-ever IPO, the company has struggled to maintain investor confidence amid mounting losses, reporting a Rp1.4 trillion ($86 million) net loss in 2023 despite revenue growth1.

This capital allocation strategy reflects Bukalapak’s urgent need to restructure its business model, as the company pivots away from physical goods to focus on four core business segments: Mitra Bukalapak, gaming, retail, and investment2.

The company’s market capitalization has fallen to 14 trillion rupiah, declining 33% in 2024 alone, demonstrating the challenges of sustaining valuation in Indonesia’s increasingly competitive digital marketplace3.

2️⃣ Doubling down on the Mitra strategy that transformed revenue mix

Bukalapak’s capital injection appears to align with strengthening its most successful business segment, the Mitra network that connects with traditional mom-and-pop shops (“warungs”).

This focus makes strategic sense given that the Mitra network’s contribution to total revenue surged dramatically from 19% to 43% between Q4 2020 and Q3 2021, demonstrating its effectiveness as a growth driver4.

The company’s leadership in the online-to-offline (O2O) segment, with a 42% market share, positions it to capitalize on Indonesia’s traditional retail market, which is seven times larger than the online retail market4.

This capital deployment strategy shows Bukalapak betting on its core strength amid intensifying competition from foreign players like Shopee and TikTok Shop, which have substantial financial resources and advanced logistics capabilities1.
