Blackstone to invest $705m for 9.9% stake in India’s Federal Bank
Blackstone will invest 62 billion rupees (US$705 million) for a 9.9% stake in India’s Federal Bank through preferential equity shares and warrants.
Asia II Topco XIII Pte Ltd, a Singapore-based Blackstone affiliate, will gain the right to nominate one non-executive director to the bank’s board after the deal is completed.
The transaction is pending approvals from the Reserve Bank of India, the Competition Commission of India, and Federal Bank shareholders.
Federal Bank’s shares rose 1.5% to 231.37 rupees, following the announcement.
Shareholder approval for the deal and board nomination will be decided at an extraordinary general meeting scheduled for November 19, 2025.

Deal leaves out economics that drive returns
- The Rs 6,197 crore plan for a 9.9% stake in Federal Bank leaves out how the preferential issue works 1. It relies on warrants priced at Rs 227 per share (Rs 2 face value plus Rs 225 premium) for up to 27.3 crore units.
- That 9.99% number is the post-conversion stake the bank says for Blackstone’s affiliate. The deal mints new warrants instead of buying shares from current holders 1.
