Blackstone-backed Liftoff Mobile files for IPO

Liftoff Mobile, a US-based platform for mobile app ad, has filed for an IPO, according to a regulatory filing on January 14.

The company was formed in 2021 through the merger of Liftoff and Vungle and is backed by Blackstone and General Atlantic.

Liftoff has not disclosed the size of its planned offering, but IPO research firm Renaissance Capital estimates it could raise around US$400 million.

After the IPO, Blackstone is expected to remain the majority shareholder.

The offering is being managed by three lead underwriters: Goldman Sachs, Jefferies, and Morgan Stanley, alongside 12 other banks and additional financial institutions.

Liftoff reported 2025 revenue of over US$519 million, with a net loss of just over US$48 million, and holds more than US$1.9 billion in debt.

The company says its services are used by 140,000 apps.

🧠 Food for thought

Implications, context, and why it matters.

liftoff’s $1.9 billion debt outweighs its $519 million revenue, raising questions on IPO cash use

  • Borrowings are nearly four times annual sales for Liftoff, which merged with Vungle in 2021 1.
  • A net loss a little over $48 million on $519 million in revenue equals about a 9% margin, typical for a growth-stage firm but heavy borrowing raises questions about covering interest.
  • IPO research firm Renaissance Capital pegs proceeds at $400 million, so a large chunk may go to pay down debt instead of growth. Private equity firm Blackstone is expected to keep a majority stake after the IPO.
  • The filing omits maturity dates and interest rates, which leaves investors guessing on refinancing risk, post-IPO cash generation, and future equity value 2.

mobile ad-tech and saas vendors should get ready for a 2026 ipo wave that liftoff’s filing may signal

  • Analysts expect 2026 to be the strongest IPO year since 2021, and the mobile advertising technology (ad-tech) market could near $1 trillion by 2030 34.
  • Enterprise software firms that sell compliance or measurement tools should map likely mobile ad-tech IPO candidates now to time sales cycles before those debuts.
  • Growth equity investors can read the filing as a sign for mobile advertising, while AppLovin, a publicly traded mobile advertising company, posted strong recent results despite a soft economy 4.
  • B2B vendors should watch companies like Liftoff, which says 140,000 mobile apps use its services, as roll-ups in fragmented markets drive demand for scalable infrastructure and compliance tools before public scrutiny.
