Bitcoin holder Strategy to repurchase $1.5b in notes

US software company Strategy, which holds large bitcoin reserves, said in a May 16 filing that it will repurchase about US$1.5 billion of its 0% convertible senior notes due 2029 from some holders in privately negotiated deals.

The company expects to pay about US$1.38 billion in cash and said it will fund the deal from cash reserves plus share sale proceeds and possibly bitcoin sales.

The notes were issued in November 2024 with a US$3 billion principal amount and mature on December 2, 2029, while about US$1.5 billion will remain outstanding after settlement expected around May 19.

The hidden value in Strategy’s zero-coupon convertible notes

  • These 0% zero-coupon convertible senior notes pay no regular interest. Investors instead look to the option to convert the debt into Strategy’s class A common stock for returns 1.
  • That option draws much of its worth from the stock’s volatility. VanEck pegged 30-day historical volatility at about 113%, versus roughly 55% for Bitcoin 2.
  • VanEck also called the December 2029 bonds the convertibles furthest out of the money. Strategy’s share price sits well below the level where conversion would make sense compared with its other outstanding convertibles 2.
  • That leaves a lower chance of profitable conversion.

This repurchase fits a broader funding plan

  • Strategy has shifted from a software company into what VanEck called a “levered Bitcoin financial vehicle.” In plain terms, it uses borrowed money and other funding tools to buy more bitcoin 2.
  • VanEck calculated a 9% leverage ratio as of May 2025. It called that the company’s lowest level since 2020, though the figure came before this repurchase 2.
  • Paying off debt can keep more capital available for Strategy’s goal of raising its “Bitcoin Yield,” which VanEck used to mean the amount of bitcoin backing each common share 2.
  • The deal marks a hands-on treasury approach. It sets Strategy apart from companies that only hold digital assets and suggests a new template for corporate crypto adoption.
