Autodesk to buy US software firm MaintainX for $3.6b

Autodesk said it has signed a definitive agreement to acquire MaintainX, a US-based provider of maintenance and operations software, in an all-cash deal worth about US$3.6 billion, expanding its operations software business.

MaintainX sells a mobile-first computerized maintenance management system (CMMS) for frontline teams to manage work orders, inspections, asset information, and operational workflows.

Autodesk said MaintainX is expected to exceed US$135 million in annual recurring revenue (ARR) in calendar 2026.

The company plans to add MaintainX to its Autodesk Operations Solutions portfolio, which includes Tandem, FlexSim, Fusion Operations, and Factory Design Utilities, to better connect workflows across design, manufacturing, and operations.

Based on that ARR target, the purchase price implies roughly 27x ARR. Autodesk plans to fund the deal with US$1.6 billion in cash and US$2 billion in additional borrowing.

The transaction is subject to regulatory approvals and other closing conditions, and Autodesk expects it to close during fiscal year 2027.
