Austria may block JD.com’s Ceconomy acquisition
Austrian foreign investment screening authorities have so far declined to clear JD.com’s proposed €2.2 billion (US$2.53 billion) acquisition of Ceconomy, putting the takeover of Europe’s largest consumer electronics retailer at risk.
Ceconomy, which operates MediaMarkt, Saturn, and MediaWorld stores, said Austria’s economy ministry raised concerns about approving the deal, and refused to enter a joint solution process.
The company said it has secured merger approvals in several markets, including Germany, the Netherlands, Poland, Spain, and Turkey, as well as foreign investment clearances in Italy and France.
Ceconomy reported 1,067 outlets in 2025, including 54 in Austria, while JD.com’s offer said Ceconomy would stay standalone with no workforce changes.

🧠 Food for thought
Implications, context, and why it matters.
Austria’s tough investment law has blocked deals before
- Austria’s Investment Control Act lets the state review non-European Union (EU) purchases of stakes as low as 10% in “particularly sensitive sectors,” such as critical digital infrastructure, data processing or storage, and information technology 1.
- Officials use the tool often. Annual screenings climbed from fewer than three in 2020 to 139 from July 2021 to December 2022. Regulators stopped 12 proposed transactions 2.
- The law lets authorities weigh whether a foreign investor is controlled by a non-EU government when judging risks to public order, a factor in reviews of a large Chinese firm like JD.com 1.
A single EU member can splinter a pan-European acquisition
- JD.com may win shareholder backing for its proposed €2.2 billion takeover of Ceconomy, yet Austria’s foreign investment screening can hold up or limit the deal in Austria until clearance arrives, which complicates a Europe-wide transaction 3.
- JD.com could face an awkward tradeoff. It may need to sell Ceconomy’s Austrian unit or run it separately, which can cut the value of the purchase 4.
- The outcome underlines a wider risk for cross-border buyers. One country’s security review can still derail a single-market strategy, even after approvals in other places 3.
