Apple supplier Qorvo appoints new directors after investor push
Qorvo, a semiconductor company, has appointed Richard Clemmer and Christopher Koopmans as independent directors to its board, according to a April 14, 2025 announcement.
This decision follows actions by activist investor Starboard Value, which aims to improve the company’s share performance.
Starboard, which disclosed a 7.7% stake in Qorvo in January 2025, is pushing for changes to boost shareholder value amid slowing demand for smartphone chips.
The board expansion is part of Qorvo’s ongoing effort to add directors with deep industry knowledge and now includes nine members, eight of whom are independent.
Clemmer brings experience from NXP Semiconductors and serves on the boards of HP and Seagate, while Koopmans is COO at Marvell Technology.

🧠 Food for thought
1️⃣ Activist investors frequently target semiconductor companies during downturns
Starboard Value’s interest in Qorvo follows a pattern seen across the industry, where activists specifically target semiconductor companies during challenging periods.
Semiconductor companies are particularly vulnerable due to their cyclical nature, with frequent boom and bust cycles that create windows for activist intervention 1.
In 2017 alone, activist investors deployed over $60 billion across nearly 200 companies, doubling the previous year’s investment, with underperforming technology companies being frequent targets 2.
Activist investors like Starboard typically employ a systematic approach to identify potential targets, focusing on metrics like stock underperformance compared to peers. This aligns with Qorvo’s 38% share price decline last year.
The timing is particularly strategic as the smartphone chip market faces a challenging period, with consumers now extending device refresh cycles to approximately three years, directly impacting component suppliers like Qorvo 3.
2️⃣ Board refreshment serves as a strategic defense against activist demands
Qorvo’s appointment of industry veterans Richard Clemmer and Christopher Koopmans represents a defensive tactic used by companies facing activist pressure.
Companies that proactively refresh their boards with industry experts can preempt more aggressive demands from activists who typically push for governance changes and strategic overhauls 4.
