AMD to sell server unit to electronic maker Sanmina for $3b

AMD has announced the sale of its data center infrastructure manufacturing business, acquired from ZT Systems, to Sanmina for US$3 billion.

Under the agreement, Sanmina will pay US$2.25 billion in cash and an additional US$300 million in a premium, divided equally between cash and equity.

The deal also includes a contingent payment of US$450 million, which is based on the business’s financial performance over the next three years.

AMD completed its US$4.9 billion acquisition of ZT Systems in March.

🧠 Food for thought

1️⃣ Strategic focus on intellectual property over manufacturing in the AI race

AMD’s decision to divest ZT Systems’ manufacturing business while retaining its design and customer enablement teams reveals a deliberate strategic shift in the AI hardware space.

The company paid $4.9 billion to acquire ZT Systems in March 2025, but is now selling just the manufacturing portion for $3 billion, choosing to keep ZT’s 1,100 system engineers and design expertise 1.

This transaction reflects a broader semiconductor industry strategy where companies increasingly focus on high-margin intellectual property rather than capital-intensive manufacturing operations.

AMD is specifically targeting ZT’s expertise in hyperscale server solutions and AI infrastructure design to enhance its competitive position against Nvidia, which currently holds 88% of the GPU market compared to AMD’s 12% 2.

By retaining ZT’s design capabilities while partnering with Sanmina for manufacturing, AMD can accelerate its time-to-market for AI products without the operational burden of running manufacturing facilities.

2️⃣ Contract manufacturing emerges as critical infrastructure for AI computing

Sanmina’s acquisition positions it as a major player in the rapidly growing AI infrastructure manufacturing sector, with the deal expected to double its revenue potential within three years 3.

The $3 billion price tag, comprising $2.25 billion in cash, a $300 million premium, and $450 million in performance-based payments, reflects the significant value placed on specialized AI manufacturing capabilities 4.

Particularly valuable is ZT Systems’ advanced liquid cooling technology, which Sanmina’s CEO highlighted as essential for next-generation AI computing systems that generate significant heat when processing complex workloads 3.
