China’s Moonshot AI moves to unwind offshore model for IPO

Moonshot AI, a Beijing-based startup behind the Kimi chatbot, has told shareholders it plans to unwind its Cayman Islands variable interest entity structure to prepare for an IPO that is likely to be in Hong Kong.

The company sought investor feedback this week after Chinese regulators increased scrutiny of offshore structures that let foreign investors gain exposure to sectors with limits on overseas ownership.

Moonshot had earlier tried to win an exemption to keep the VIE model, but its latest proposal suggests a waiver is unlikely, in a sign of tighter oversight by the China Securities Regulatory Commission.

  • For years, the Variable Interest Entity (VIE) structure let many Chinese internet and tech groups work around foreign investment limits and raise money overseas 1.
  • Rules that took effect on March 31, 2023 gave the China Securities Regulatory Commission (CSRC), China’s securities regulator, a filing system with closer review for overseas listings, including those using VIEs. That made the route harder, though not closed off 2.
