Palo Alto Networks cuts FY forecast as acquisition costs jump
Palo Alto Networks lowered its full-year profit forecast on February 17, citing increased costs from recent acquisitions.
The cybersecurity firm announced the purchase of Israeli startup Koi and reported higher expenses related to its acquisitions of CyberArk and Chronosphere.
The company plans to spend around US$2.3 billion in cash in Q3 for the CyberArk deal. Palo Alto acknowledged challenges in integrating larger acquisitions, which require more restructuring.
The company now projects an adjusted profit per share of US$3.65 to US$3.70 for FY2026, down from an earlier estimate of US$3.80 to US$3.90. Shares fell nearly 8% in after-hours trading following the announcement.

🧠 Food for thought
Implications, context, and why it matters.
The profit warning overshadows a surge in expected revenue
- Palo Alto Networks topped Wall Street’s Q2 earnings-per-share estimate by nearly 10%, posting $1.03 versus an expected $0.94 1.
- Management cut profit guidance after acquisition-related costs rose, yet those deals are meant to lift future sales.
- The company expects next-quarter revenue growth of 28% to 29%, up from the 15% pace it just reported 2.
- The outlook frames a trade-off between near-term margins and longer-term market share gains plus broader product depth.
Palo Alto’s acquisitions signal an industry-wide platform war
- The buying spree bets that enterprise cybersecurity teams prefer one consolidated security platform over dozens of specialized tools 2.
- CyberArk adds identity security (tools that control and monitor who can access critical systems), while Chronosphere adds data observability (software that helps teams understand system health and performance using metrics, logs, and traces) 3.
- Those moves raise the bar for single-product security firms, which may face tougher competition or acquisition pressure.
- Koi adds AI agent security, pushing the field toward protecting autonomous AI systems (software agents that can act on a user’s behalf) before rivals pull ahead 4.
