Flipkart relocates domicile to India ahead of IPO
Flipkart has completed a reverse flip to shift its legal domicile from Singapore back to India after approvals from the National Company Law Tribunal and the central government under Press Note 3.
The move clears the way for an India listing and Flipkart has begun meeting merchant bankers as it aims to file a draft prospectus later this year.

Flipkart’s decade-long stay in Singapore came with a steep bill
- Flipkart moved its holding company to Singapore in 2011, a popular startup move at the time 1.
- The return involves legal heavy lifting. The National Company Law Tribunal (NCLT) approved merging eight Singapore-incorporated entities into Flipkart Internet Private Limited, the India-incorporated company set to run the group’s domestic businesses, including Myntra and Ekart 2.
- Flipkart also sought central government clearance under Press Note 3, India’s foreign investment rule that can require extra approval when investors from countries that share a land border with India hold stakes in an Indian company. The trigger here is Chinese technology company Tencent’s stake in Flipkart, often reported at around 5% 3.
- The costs can run high. Walmart-owned PhonePe paid about Rs 8,000 crore in taxes to complete its own shift back to India 1.
Big startups are bringing their legal homes back to India
- Flipkart joins a wider shift. PhonePe, Zepto (a quick-commerce startup), and Groww (an online investment platform) have also moved or are working to move their legal bases to India from overseas jurisdictions 1.
