Elon Musk to pay $1.5m in SEC Twitter stake settlement
The US Securities and Exchange Commission and Elon Musk agreed to settle a lawsuit over his delayed disclosure of a more than 5% Twitter stake.
A May 4 filing showing Musk’s revocable trust will pay a US$1.5 million civil penalty if a judge approves the deal.
The SEC sued Musk in 2025, alleging he missed the deadline to report the holding.
This let him keep buying shares at lower prices before the market knew the size of his stake.
The proposed settlement follows Musk’s 2018 deal with the SEC over Tesla privatization tweets.
It comes after a California jury found in March that he misled Twitter investors before the buyout.

🧠 Food for thought
Implications, context, and why it matters.
The US$1.5 million penalty is tiny next to the SEC’s original claim
- The US Securities and Exchange Commission (SEC) alleged that Elon Musk waited 11 days to report his Twitter stake, which let him buy more than US$500 million in Twitter shares before the market knew 1.
- According to the SEC, that delay cut at least US$150 million from what Musk would have paid for those shares 2.
- The agency also wanted disgorgement, which means repaying alleged “ill-gotten gains” 2.
- The US$1.5 million settlement equals about 1% of the advantage the SEC said Musk gained 2.
The deal could make disclosure violations look cheap
- This is Musk’s second large settlement with the SEC. In 2018, he and Tesla each paid US$20 million over his “funding secured” tweets 3.
- A penalty this small next to an alleged nine-figure benefit could look like a manageable business expense for other investors, rather than a warning 2.
- The result also puts the SEC’s reach under scrutiny when it goes after people who control huge companies, including SpaceX, a rocket and satellite company, plus xAI, his AI company. They have been reported as having a combined valuation of about US$1.25 trillion 4.
